A new GmbH formation realistically takes several weeks with notary, bank, and commercial register — too long for some deals. The shortcut: buy a shelf company. That's an already formed, registered, but never active GmbH whose shares you take over. You're operational within days.
What is a shelf company?
A shelf company (Vorratsgesellschaft) is formed "in stock" by specialized providers and sits, quite literally, on the shelf: registered in the commercial register, share capital fully paid in, but with no business activity, no liabilities, no history.
To be distinguished from:
- Used companies/empty shells: had active operations — with corresponding (residual) history and higher due diligence effort
- Aged companies: registered longer ago, interesting when the incorporation date should signal credibility
When is buying worth it?
Time-critical ventures: A contract needs signing next week, a license requires an existing entity — the shelf company is ready immediately.

Risk mitigation: No formation phase means no personal liability from the pre-registration stage.
The process in 5 steps
- Choose a provider and reserve a company
- Due diligence: check the commercial register extract, balance sheet, and confirmation that the company is free of liabilities — reputable providers give a written guarantee
- Notary appointment: share transfer, usually combined with renaming, seat relocation, change of business purpose, and appointment of your management
- Commercial register filing of the changes
- Disclose the "economic re-formation": the notary reports the activation to the register court — a mandatory step whose omission creates liability risks

What to watch out for
- Genuine shelf company, not an empty shell: get the inactivity guaranteed in writing. Used companies can hide legacy liabilities.
- Confirm full payment of the share capital — otherwise you're liable for the difference
- Economic re-formation: take the disclosure duty towards the register court seriously
- Renaming is possible but must follow German company naming rules

How fast am I operational with a shelf company? Immediately from the notary appointment — the company already exists. Until all changes appear in the commercial register another 1–2 weeks pass, but you can do business from the takeover.
Can I change the company's name and purpose? Yes, both are usually handled in the same takeover notary appointment.
Are shelf companies available as UGs? The market focuses on GmbHs — a new UG formation is fast and cheap anyway, so the detour rarely pays.
Which risks remain? With a genuine, guaranteed-inactive shelf company: practically only the premium. The risk sits with used shells that have a past — there, thorough due diligence is mandatory.
