GmbH & Co. KG in Germany — Limit Liability, Save on Taxes

The GmbH & Co. KG is a clever trick of German corporate law: a limited partnership in which no natural person carries unlimited liability, because the general partner role is taken by a GmbH. The result: liability protection like a corporation, taxation like a partnership. No wonder German SMEs love this structure.

How does the construction work?

A KG needs two kinds of partners: at least one general partner (Komplementär — unlimited liability, runs the business) and at least one limited partner (Kommanditist — liable only up to their contribution). In a GmbH & Co. KG, a GmbH takes the general partner role.

Since the GmbH itself is only liable with its corporate assets, personal liability for every human involved is effectively eliminated — the limited partners' liability is capped anyway.

The double advantage

1. Liability protection: No natural person is liable with their private assets.

2. Tax transparency: The KG is a partnership. Profits are not taxed twice (as with a GmbH: first corporate tax, then capital gains tax on distributions) but flow directly to the partners, where they're taxed at the personal income tax rate.

Add practical benefits for succession planning (shares transfer flexibly, popular with family businesses) and bringing in investors (limited partners invest with capped risk and no management duties).

Forming a GmbH & Co. KG: the steps

The formation has two stages — you're effectively creating two companies:

  1. Form the general partner GmbH (or use an existing one): notary, €25,000 share capital, commercial register — the process is in our GmbH guide. If speed matters, buy a shelf company.
  2. Sign the KG partnership agreement: the GmbH as general partner, you (and possibly others) as limited partners. It governs contributions, profit distribution, and management.
  3. Commercial register filing of the KG via the notary.
  4. Trade registration and tax registration — the KG gets its own tax number; more in our tax number guide.

The biggest cost factor is ongoing: you're administering two companies — two sets of books, two annual statements, two register obligations.
