The main differences: share capital (a UG can be formed with as little as €1, while a GmbH requires €25,000), profit retention (a UG must set aside 25% of its annual profit as a reserve each year until it reaches €25,000, at which point it can convert into a GmbH), and perception (because a GmbH requires more capital upfront, it's often seen as more established by banks, partners, and larger clients, though this matters less for smaller or early-stage businesses). In short: the UG is a great low-cost way to start, while the GmbH suits founders who want more capital behind them from day one, or who are ready for a more established image.

Yes, a business bank account with a German IBAN is required. Without one in place to deposit the share capital, we cannot finalize the formation process. If you're not a German resident, opening an account with a traditional high-street bank can be more than challenging. However, over the years, we've referred our international clients to suitable fintech neobank solutions, which they can apply to directly. These offer remote application processes, greater flexibility, and are generally well suited to their business needs in the long term.
Notary and commercial register fees are not included in our service package, as these are official third-party fees payable directly to the relevant authorities. The exact amount depends on your company's type and structure (e.g. number of shareholders and directors, specific regulations, etc.). We'll confirm the precise cost with you once we've received your completed formation details.
As part of our service, we check your desired name's availability and compliance before submitting your formation documents, so you can be confident it will be accepted. Your company name must meet certain legal requirements in Germany. It needs to be distinguishable from existing companies, must not be misleading about your business activities, and needs to include the correct legal form suffix (e.g. "UG (haftungsbeschränkt)" or "GmbH").
Once your company is officially registered, we take care of the next essential steps on your behalf: submitting your tax number application and coordinating with the relevant authorities. Yes, using your private residential address in Germany is often possible. However, this comes with some important caveats. It's public: the registered address of a UG/GmbH is filed with the Commercial Register (Handelsregister) and is publicly searchable, anyone can look up your home address. Another thing to consider is landlord permission: if you rent, your lease may not allow using the address for commercial registration, so it's worth checking with your landlord first. Correspondence volume: as the "Sitz" of the company, this address becomes the official channel for legal notices, tax authority letters, and business correspondence, mixing that with a private home isn't always practical. That's why many founders opt for our dedicated legal address instead: it keeps a home address private, is guaranteed to be accepted by authorities and banks, and usually comes with a digital postbox so mail isn't missed.
