Business Address for a German GmbH: What You Need

October 22, 2026·7 min read·Clevver Team

To register a GmbH in Germany, you need a domestic business address (inländische Geschäftsanschrift): a specific street address in Germany where the company can receive mail and formal service of documents. It goes into the commercial register filing and becomes public. It can be your apartment, an office or a rented business address, as long as mail actually gets delivered there and you can prove you're allowed to use it. This applies to a UG as well, and it matters most to founders who don't live in Germany.

What does German law require?

Under Section 8(4) no. 1 of the GmbH Act, the application to the commercial register must state a domestic business address. It's entered in the register together with the company name, registered seat and managing directors (Section 10 GmbH Act).

The idea is simple: creditors, courts and authorities must always be able to reach the company at a known address. That's why the address has to be serviceable (ladungsfähig): a real street address where mail is actually accepted. A PO box doesn't count, and neither does an address abroad. More on the concept: Serviceable address in Germany.

Registered seat, business address, place of management

Three terms tend to get mixed up:

| Term | What it is | Where it appears | |---|---|---| | Registered seat (Satzungssitz) | The city named in the articles of association | Articles, commercial register | | Domestic business address (Geschäftsanschrift) | The specific street address for mail and service | Register filing, commercial register | | Place of management (Ort der Geschäftsleitung) | Where the managing directors actually work and decide | Not registered; matters for tax |

Example: the articles say "The company's seat is Berlin". The business address is a specific Berlin address. The managing director, though, runs the company from Lisbon. That's allowed under company law, but it raises tax questions (see below). All the address terms side by side: Registered seat, business address, postal address.

When do you need the address?

The address has to be fixed before the notary files the application with the commercial register. In practice, sort it out before your notary appointment:

  1. Choose the legal form and seat. GmbH or UG, and which city goes into the articles? Help with the choice: UG or GmbH?
  2. Secure the business address. Your own premises, your home with the landlord's consent, or a rented business address in the seat city.
  3. Notary appointment. The articles are notarized and you sign the register application, including the business address.
  4. Pay in the share capital and give the notary proof of payment.
  5. Entry in the commercial register. From then on, the address is public.
  6. Trade registration and tax office. You'll give the business address here too.

The full process is in our guide Forming a GmbH in Germany.

Why beforehand? Because every later change costs time and money. A new business address must be filed with the register again, through a notary and for a fee. If you move to a different city, you'll usually want to move the registered seat as well, which needs a notarized shareholder resolution.

Which address works for a GmbH?

Your own home

Legally possible if mail is accepted there. If you rent, check whether your landlord has to agree to business use. The downside: your private address sits permanently in the commercial register, on invoices and usually in your website's legal notice (Impressum). And if you live outside Germany, this option is off the table anyway. More on that in Starting a company without an office.

An office or coworking space

Straightforward if you need space anyway. With coworking, check that the contract covers use as a business address and mail handling. Not every plan does.

A rented business address (virtual office)

You rent an address at an office location, mail is received there for you, and you get a rental agreement as proof. For most founders, especially those based abroad, this is the practical route: your home address stays private and you don't pay for space you won't use.

At Clevver, this product is called the Registered Office. It's designed for trade registration and the commercial register entry, and includes a rental agreement and a ZERO postbox, so you see incoming mail in the app. In Germany, Registered Offices are available in Berlin, Hamburg, Munich, Frankfurt, Düsseldorf, Cologne, Hanover, Bremen, Nuremberg and Straßlach near Munich.

In Berlin, Hamburg and Munich, the Registered Office starts at €59.95 a month plus VAT on a 12-month term (as of October 2026), with a deposit of three months' rent. All locations and prices are on the virtual office page.

| Option | Home address private? | Proof | Typical cost | |---|---|---|---| | Your home | no | lease or ownership, landlord's consent if needed | none extra | | Own office | yes | commercial lease | rent and utilities | | Coworking | yes, if the address may be used | coworking contract | depends on plan | | Virtual office / Registered Office | yes | rental agreement for the address | monthly fee, no floor space |

What does the register court check?

Register courts don't inspect every address. They do check that it's complete, in Germany and that service is possible. Where a lot of companies are registered at one address, some courts or authorities ask questions. A rental agreement that expressly allows use as a business address helps.

You can also register a person authorized to receive service with a German address (Section 10(2) GmbH Act). It's a second route for delivery if service at the business address ever fails. For directors living abroad, that's worth considering.

What if mail doesn't arrive?

If documents can't be served on the GmbH at its registered address, public service (öffentliche Zustellung) is possible under certain conditions (Section 185 of the German Code of Civil Procedure). The document is then treated as delivered, even if you never saw it. Deadlines run, and a default judgment can follow. That's why the mail process matters as much as the address: who accepts mail, how fast do you hear about it, and how do you get the original?

Business address and tax

For tax, what counts is not only the registered address but also the place of management (Section 10 of the German Fiscal Code): where the key decisions are actually made. If you run the company from another city or from abroad, that can affect which tax office is responsible, or even where the company is taxed. Talk to a tax advisor about this before you incorporate.

FAQ

Does a GmbH need a business address in Germany? Yes. The application to the commercial register must include a domestic business address. It's entered in the register and publicly visible.

Can I use a virtual address for my GmbH? Yes, as long as documents can be served on the company there and you have a rental agreement as proof. Clevver's Registered Office is designed for the commercial register entry.

Can I form a German GmbH while living abroad? Yes. Neither the shareholders nor the managing directors need to live in Germany. The company does need a German business address, and you should check the tax side with an advisor.
